Inc or LLC?

As a rule, if you are a Public Limited Company (plc) in the UK, you should consider (only consider) being a Corporation in the US.

If you are anticipating multiple third-party investors from multiple States, or an initial public offering (IPO), you should consider being a Corporation. Adding “Inc” to your US company name is expensive and carries a significant administrative burden including, for example, having Minutes of Meetings. and incurring legal and accounting costs. It will not win you more business.

Generally, if you are a Limited (Ltd) Company in the UK, you should consider being a Limited Liability Company (LLC) in the US. At the time of writing, YouTube has an LLC. Barclays Bank has an LLC. So have Pepsi-Cola, Sony, Nike, Hertz Rent-a-Car, eBay… There is no status in being an “Inc.” We have never met anyone from the UK who knows who, or what, FCA US LLC is. It is an automobile company with a stable of brands including Abarth, Alfa Romeo, Chrysler, Dodge, Fiat, Fiat Professional, Jeep, Lancia, Ram, Maserati and Mopar. And it is an LLC.

It is often observed that Inc is vanity and LLC is sanity.

To US buyers it pretty much seems it doesn’t matter where your company is in the US… providing yours is a US company with a US telephone number and US address.
